Vendor Terms

Acceptance of Terms By accessing or using the Chati platform and services, you agree to be bound by these Vendor Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services. Services Provided Chati provides a platform for WhatsApp-based marketing and customer engagement, including but not limited to: Native-looking WhatsApp chat interface Campaign management Contacts import/export functionality Custom fields support for contacts Automated and AI chatbot replies Real-time campaign updates Multilingual support Integration with Official WhatsApp Cloud API Multiple payment options Multiple phone numbers support WhatsApp template management CRM features QR code generation Multi-user support Media and interactive message support API access AI bot integration Vendor Obligations 3.1 Compliance: Vendors must comply with all applicable laws, regulations, and WhatsApp's policies. 3.2 Account Information: Vendors are responsible for maintaining the accuracy of their account information. 3.3 Content: Vendors are solely responsible for the content they create and distribute through the Chati platform. 3.4 Prohibited Activities: Vendors may not use the platform for any illegal, harmful, or fraudulent activities. Payments and Fees 4.1 Subscription Fees: Vendors agree to pay the subscription fees as per the chosen plan. 4.2 Payment Methods: Chati supports various payment methods, including Stripe, PayPal, RazorPay, and manual bank transfers. 4.3 Refunds: Refund policies will be as per the specific subscription plan chosen. Intellectual Property 5.1 Chati's IP: All intellectual property rights in the platform belong to Chati. 5.2 Vendor's IP: Vendors retain rights to their own content but grant Chati a license to use it for service provision. Data Protection and Privacy 6.1 Data Handling: Vendors must handle user data in compliance with applicable data protection laws. 6.2 Privacy Policy: Vendors agree to adhere to Chati's privacy policy. Term and Termination 7.1 Term: The agreement starts upon account creation and continues until terminated. 7.2 Termination: Either party may terminate the agreement with notice as per the subscription terms. Limitation of Liability Chati's liability is limited to the extent permitted by law. We are not liable for indirect or consequential damages. Indemnification Vendors agree to indemnify Chati against any claims arising from their use of the platform or violation of these Terms. Modifications to Services and Terms Chati reserves the right to modify the services and these Terms at any time. Continued use of the service constitutes acceptance of modified Terms. Dispute Resolution Any disputes will be resolved through arbitration in Nairobi, Kenya, under Kenyan law. Confidentiality Vendors agree to maintain the confidentiality of any non-public information about Chati's business and technology. Support and Training Chati may provide support and training resources to vendors. The extent of support will be as per the chosen subscription plan. No Exclusivity This agreement is non-exclusive. Vendors are free to use other platforms unless specified otherwise in their subscription plan. Assignment Vendors may not assign their rights or obligations under these Terms without Chati's prior written consent. Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Entire Agreement These Terms constitute the entire agreement between the vendor and Chati regarding the use of the platform.
